End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you (an individual or a single entity, "Licensee", "you") and Oracle Algo ("Licensor", "Oracle Algo", "we", "us") governing your use of the Oracle Algo trading indicator/algorithm and any associated scripts, code, files, or documentation (collectively, the "Software").

By purchasing, downloading, installing, activating, or otherwise using the Software, you agree to be bound by this Agreement. If you do not agree to these terms, do not access or use the Software.

This Agreement should be read together with our Terms of Service, Privacy Policy, and Refund Policy, all of which apply to your use of the Software and related Services.

1. Grant of License

Subject to your continued compliance with this Agreement and payment of all applicable fees, Oracle Algo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software, solely for your own personal or internal use, on the platform(s) (e.g., TradingView or other supported charting platform) for which the Software is designed.

This license is granted for the duration of your active subscription or the license term you purchased. No ownership rights are transferred to you under this Agreement.

2. Restrictions

You shall not, and shall not permit or authorize any third party to:

  • copy, reproduce, distribute, publish, sell, resell, rent, lease, lend, or sublicense the Software or any part of it;
  • reverse-engineer, decompile, disassemble, decrypt, or otherwise attempt to derive or access the source code, underlying logic, algorithms, or formulas of the Software;
  • modify, adapt, translate, or create derivative works based on the Software;
  • remove, alter, or obscure any proprietary notices, trademarks, or labels on the Software;
  • share, transfer, or allow access to your license key, account, or activation credentials to any third party;
  • use the Software to build a competing product or service;
  • use the Software for any unlawful purpose or in violation of any applicable law or regulation;
  • use automated tools to extract signals, data, or outputs from the Software for redistribution or resale.

Any use of the Software beyond the scope expressly permitted in this Agreement is strictly prohibited and constitutes a material breach.

3. Ownership and Intellectual Property

The Software, including its source code, underlying algorithm, logic, design, documentation, and all related intellectual property rights, is and remains the sole and exclusive property of Oracle Algo. This Agreement grants you only a limited right to use the Software; it does not constitute a sale and does not transfer any ownership, title, or intellectual property rights to you.

All trademarks, service marks, logos, and trade names associated with Oracle Algo are the property of Oracle Algo and may not be used without prior written consent.

4. Updates and Modifications

Oracle Algo may, at its sole discretion, release updates, patches, or new versions of the Software, or modify its features, functionality, or availability at any time, with or without notice. Continued use of the Software after an update constitutes your acceptance of the updated Software under the terms of this Agreement.

5. No Financial Advice — Risk Disclosure

The Software generates technical signals, alerts, or visual overlays based on market data for informational and educational purposes only. It does not constitute financial, investment, trading, tax, or legal advice, and Oracle Algo is not a broker, exchange, or investment adviser. Trading involves substantial risk of loss, and past or hypothetical/backtested performance is not indicative of future results. You are solely responsible for any trading or investment decision you make. See our Terms of Service for the full risk disclosure applicable to your use of the Software.

6. Term and Termination

  • This Agreement remains in effect for as long as you hold an active license or subscription to the Software.
  • Oracle Algo may suspend or terminate your license immediately, without refund, if you breach any provision of this Agreement, engage in fraudulent activity, or violate our Terms of Service or Affiliate Program Policy (including brand-bidding violations, where applicable).
  • Upon termination or expiration of your subscription for any reason, your right to use the Software ceases immediately, and you must stop all use of the Software and, where applicable, remove any copies or activations under your control.
  • Sections 2, 3, 5, 7, 8, 9, and 10 shall survive termination of this Agreement.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT. ORACLE ALGO DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SIGNAL, ALERT, OR OUTPUT WILL RESULT IN A PROFITABLE OUTCOME.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORACLE ALGO AND ITS OWNERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR TRADING LOSSES — ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ORACLE ALGO'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Oracle Algo, its owners, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of this Agreement, your misuse of the Software, or your trading or investment activity.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction to be inserted], without regard to its conflict of law principles. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction to be inserted], unless otherwise required by applicable law.

11. Entire Agreement

This Agreement, together with our Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement between you and Oracle Algo regarding the Software and supersedes any prior agreements or understandings, whether written or oral, relating to its subject matter.
